The terms and conditions governing your use of ClaimParity

These Terms of Use ("Terms") govern your access to and use of ClaimParity ("the Service"), operated by Prometheus Technology Systems Corp, a Georgia corporation ("Prometheus," "we," "us," or "our"), located at 10 Glenlake Pkwy NE Suite 130, Atlanta, GA 30328.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ClaimParity is a healthcare revenue integrity platform that enables healthcare organizations to upload remittance data and contracted rate schedules, identify underpayments, and generate analytical reports. The Service is intended for use by authorized representatives of healthcare organizations, including hospitals, health systems, physician groups, and ambulatory surgery centers.

2. Eligibility & Account Registration

To use the full Service, you must register for an account. You represent that you are authorized to enter into these Terms on behalf of your organization, and that your organization is a healthcare provider, healthcare payer, or their authorized representative.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@claimparity.com of any unauthorized use of your account.

3. Permitted Use

Subject to these Terms, Prometheus grants you a limited, non-exclusive, non-transferable license to access and use the Service solely for your organization's internal healthcare revenue integrity purposes. You may not:

4. Healthcare Data & HIPAA Compliance

If you upload Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA) to the Service, you must execute a Business Associate Agreement (BAA) with Prometheus Technology Systems Corp prior to uploading any PHI. Use of the Service to process PHI without an executed BAA is strictly prohibited.

The demo environment contains only synthetic data and does not constitute PHI. You represent that any data you upload to a non-demo account either (a) does not constitute PHI, or (b) you have executed a BAA with Prometheus and are authorized to upload such data.

5. Data Ownership

You retain all ownership rights to the data you upload to the Service, including remittance files and contracted rate schedules. You grant Prometheus a limited license to process your data solely for the purpose of providing the Service to you. We do not use your data to train machine learning models or for any purpose other than operating the Service.

6. Intellectual Property

The Service, including its software, algorithms, user interface, and all content created by Prometheus, is owned by Prometheus Technology Systems Corp and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

ClaimParity, the ClaimParity logo, and associated marks are trademarks of Prometheus Technology Systems Corp.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PROMETHEUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY UNDERPAYMENT ANALYSIS WILL BE COMPLETE, ACCURATE, OR ACTIONABLE.

The Service is an analytical tool intended to assist healthcare organizations in identifying potential underpayments. ClaimParity analysis does not constitute legal, financial, or medical advice. You are solely responsible for any decisions made based on Service outputs.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMETHEUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF PROMETHEUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PROMETHEUS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROMETHEUS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Prometheus Technology Systems Corp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

10. Term & Termination

These Terms are effective until terminated. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us at hello@claimparity.com. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email and will update the "Last updated" date above. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
